Beta Testing Terms of Service for (Audio Production) Software by Not a Number GmbH

Welcome!

Thank you for your interest in participating in our (Not a Number GmbH) beta test program for our new audio production software (Name of Software: „Grapes – 3D Audio Control“) This Agreement ("Agreement") outlines the terms and conditions governing your participation in the beta testing program (the "Program").

1. Agreement to Terms

By participating in the Program, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to all the terms of this Agreement, you may not participate in the Program.

2. Description of the Program

The Program allows you to access and test pre-release versions of the Software. You understand that the Software is under development and may contain bugs, errors, or incomplete features.

3. Your Responsibilities

Testing and Feedback: You agree to actively test the Software and provide us with feedback on your experience, including reporting any bugs or errors you encounter.

Confidentiality: The Software and any related information we provide you are considered confidential. You agree not to disclose or distribute the Software or any confidential information to any third party without our prior written consent.

System Requirements: You are responsible for ensuring your computer system meets the minimum requirements to run the Software.

Backup: You are responsible for backing up your own data before using the Software. We are not liable for any loss of data.

4. Our Responsibilities

Software Access: We will provide you with access to the Software and any updates during the Program period.

Technical Support: We will offer our best effort to provide technical support for the Software during the Program period. However, we cannot guarantee the availability or level of support.

5. Term and Termination

The Program will continue for a period determined by us (the "Program Period"). We reserve the right to terminate the Program or your participation at any time for any reason. Upon termination of the Program or your participation, you will immediately cease all use of the Software and delete all copies from your possession.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE FREE OF BUGS, ERRORS, OR INTERRUPTIONS.

7. Limitation of Liability

WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE SOFTWARE, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Intellectual Property

The Software and all intellectual property rights associated with it are our property. You are granted a non-exclusive, non-transferable license to use the Software solely for the purpose of participating in the Program.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the city of Leipzig, Saxony, Germany, without regard to its conflict of laws provisions.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and us regarding your participation in the Program and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. Amendment

We may amend this Agreement at any time by posting the amended terms on our website. Your continued participation in the Program after the posting of any amended terms constitutes your acceptance of the amended Agreement. Thank you for your participation in the Program!
